YOU HEREBY GRANT AGENCY AUTHORITY TO ANY PARTY WHO CLICKS ON THE “I AGREE” BUTTON OR OTHERWISE INDICATES ACCEPTANCE TO THESE TERMS AND CONDITIONS ON YOUR BEHALF.

ARBITRATION NOTICE: YOU AGREE THAT DISPUTES BETWEEN YOU AND US OR YOU AND THE MEDICAL GROUPS OR PROVIDERS ARISING OUT OF OR RELATED TO THESE TERMS AND CONDITIONS OR THE SERVICE WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHTS TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION, AS FURTHER SET FORTH BELOW.

OrderlyCare LLC (“OrderlyCare,” “we,” or “us”) operates the website located at orderly.care and any related subdomains or applications (collectively, the “Platform”).

OrderlyCare provides access to a telehealth-enabled care coordination service that allows individuals to initiate a virtual clinical evaluation while physically present at a participating retail pharmacy. Users complete a condition-specific questionnaire and may be evaluated by a licensed healthcare provider through one of our affiliated medical groups.

If treatment is deemed appropriate, prescriptions may be transmitted to a pharmacy for fulfillment. OrderlyCare does not dispense medications.

We make available access to healthcare services provided by independent medical groups and licensed healthcare professionals (“Providers”) who deliver medical services through the Platform (collectively, the “Medical Groups”).

OrderlyCare is not a healthcare provider and does not practice medicine. We do not control or interfere with the professional judgment of Providers. Any medical care you receive is provided solely by the Medical Group and its Providers.

By using the Service, you may enter into a provider-patient relationship with a Medical Group and/or Provider, but you are not entering into a doctor-patient relationship with OrderlyCare.

Healthcare services accessed through the Platform are provided on a direct-pay basis unless otherwise stated. OrderlyCare does not guarantee that any services or prescriptions are covered by insurance, and you are responsible for understanding your financial obligations with respect to services received and prescriptions filled.

Certain treatments available through the Platform may require a valid prescription issued by a licensed Provider. If a prescription is issued, it may be transmitted to a pharmacy selected for fulfillment.

Pharmacies are independent third parties responsible for medication dispensing, pricing, insurance processing (if applicable), and fulfillment. OrderlyCare does not dispense medications and does not control pharmacy services.

Laboratory services may be offered through third-party partners. If ordered by a Provider, such services are fulfilled by independent laboratories. OrderlyCare does not operate laboratory facilities.

The Service is available only to individuals who are at least 18 years of age and located in states where participating Medical Groups and Providers are licensed to practice.

Telehealth involves the delivery of healthcare services using electronic communications. Before receiving care, you will be required to review and agree to an informed consent regarding telehealth services.

You agree to provide accurate and complete information and to maintain the confidentiality of your login credentials. Notify us immediately of unauthorized use of your account.

You agree not to misuse the Service, violate laws, impersonate others, upload malicious code, or interfere with the platform’s operation.

Medical services are provided by independent Medical Groups and Providers. Pharmacy and laboratory services are provided by independent third parties. OrderlyCare is not responsible for their services, actions, or outcomes.

Transactions made through the Platform are processed using third-party payment processors. OrderlyCare does not store full payment card information.

We may suspend or terminate access to the Service for violations of these Terms or misuse of the platform.

THE SERVICE IS PROVIDED “AS IS.” WE MAKE NO WARRANTIES REGARDING ACCURACY, AVAILABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORDERLYCARE IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

You agree to indemnify and hold OrderlyCare harmless from claims arising from misuse of the Service.

You consent to receive communications electronically via email or SMS.

All disputes will be resolved through binding individual arbitration under AAA rules. Class actions are waived. 

These Terms are governed by the laws of the State of Delaware.
